When a licence terminates but the token remains: what to do first
When a licence to use a tokenised right ends, the token that carried it does not vanish and does not stop moving. The right and the token are two separate things, and only one of them terminates on schedule. If you are not yet sure whether anything can be established at all, there is a separate answer for that: When there is nothing to establish, we say so. What follows is the order of action that keeps a lapsed licence from turning into an unrecoverable transfer.
What governs the token itself
The token may fall within the scope of Regulation (EU) 2023/1114 (MiCA), which attaches obligations to the crypto-asset and to its issuer or service provider, not to the underlying licensed right. Termination of a licence does not, by itself, change the crypto-asset's status under that regulation. Where the token moves through a service provider after termination, the transfer must still carry the accompanying information required by Regulation (EU) 2023/1113 (TFR). That information is the record you will later need to show who held the token, and when.
What actually changes
A terminated licence stops the legal right to use whatever the token represents. It does not stop the token from being transferred, staked, or sold. Anyone acquiring the token after termination may have no reason to know the underlying right lapsed, and the platform recording the transfer has no duty to check for them. The gap between these two events is where disputes about provenance begin.
What to do first
Act in this order. Each step names who is expected to carry it out.
| Step | Who acts | What it produces |
|---|---|---|
| Fix the termination date in writing | Licensor and licensee | A dated notice both sides can point to later |
| Request a hold on the token | The custodian or platform | A recorded instruction, not a legal freeze |
| Confirm the token's status under MiCA | Whoever issued or services the token | Its own compliance record naming that status |
| Pull the transfer information required under TFR | The service provider that processed the move | A chain of who held the token and when |
| Preserve independent on-chain records | You, before contacting anyone else | Transaction hashes and timestamps the platform cannot alter |
| Notify any known downstream holder | The licensor, in writing | Proof the holder was told the licence had ended |
Who decides
Whether the licence terminated on the terms claimed is a contractual question. It is decided under the licence agreement's own dispute clause — arbitration or the court named there, not a regulator. A custodian or platform decides only what its own terms of service allow: it can suspend an account, not rule on a licence. A regulator's remit is limited to whether the issuer or service provider is complying with Regulation (EU) 2023/1114 (MiCA); it does not adjudicate who owns the right the token once represented.
If your situation is slightly different
If the total supply of the token changed after termination through a burn, the reduction affects circulating tokens, not the licence history — see When a burn changes the supply in practice. If the token sits with a platform under custody and that angle needs resolving first, treat it as a separate track running in parallel to the licence question, not as a substitute for it. If a dispute over the licence is already contractually committed to a forum, gather the written notice and the on-chain records before that forum's first hearing, not after.
The limit of this page
This page does not value the token, does not rule on whether the termination clause was validly triggered, and does not decide ownership of the underlying right. For the underlying-asset check in a specific jurisdiction, see Asset in Germany and its limits.
If enforcement already follows a judgment you hold, the practical order of steps sits elsewhere: Debtor report after a judgment in practice.

FAQ
What is the first step when a licence terminates but the token remains?
Fix the termination date in writing between licensor and licensee, then request a hold on the token from whoever holds it in custody. The written date is what later evidence will be measured against.
Which deadline is already running?
No single statutory countdown starts automatically for the token itself. What is running is the notice or cure period set out in the licence agreement, together with any hold-request window the custodian's own terms allow. Confirm both before treating the position as settled.
Who decides, and on what evidence?
The forum named in the licence agreement decides the contractual question, on the written termination notice and any on-chain record preserved independently of the platform. A platform or regulator decides only matters within its own remit — custody terms, or compliance under Regulation (EU) 2023/1114 (MiCA) — not who owns the underlying right.
